Information Technology

Executive Counsel provides strategic counseling, negotiation, drafting, documentation and due diligence to clients in a range of telecommunications transactions. In addition to our day-to-day counseling of clients on issues of regulatory compliance, we represent clients before federal, state, local and foreign regulators in a variety of matters.
Our attorneys maintain relationships with federal, state and local legislators and take an active role in the legislative process. We also monitor pending legislation of interest to our telecommunications clients and have established a record of effective legislative advocacy.

Federal Contracting and Procurement

The Federal Contracting practice group has considerable experience advising clients with respect to public contracts. Members of the practice group assist clients in preparing bid and contract documents, defending successful procurements from challenges by unsuccessful vendors, and protesting the award of unsuccessful bids when necessary.

Non Profit

Our team has the considerable knowledge and experience to handle all counseling, and transactional issues that a nonprofit organization may encounter. We have assisted on nonprofit creation and counsel on various issues of human resources, income classification, contract drafting, and necessary and appropriate legal disclaimers.

Health Care

Executive Counsel provides a full range of legal services to a broad spectrum of health care clients including, inter alia, hospitals and healthcare systems, academic medical centers, medical schools, physician organizations including group practices, tele-heath provides, and affiliated organizations. Financial Services and Private Equity

Executive Counsel has significant experience with respect to lending matters, products and services, assisting banks and borrowers with a broad range of secured lending, leasing and financing transactions and operational matters, including asset-based lending, government contract lending, equipment leasing and aircraft financing. Banking continues to be one of the most heavily regulated businesses in the nation. Members of our Financial Services practice group have many years of experience dealing with federal and state regulators.
Our Private Equity practice addresses all legal and regulatory problems that face companies seeking to attract and invest capital. We have extensive experience formulating innovative strategies for structuring financings, acquisitions of private and public companies (including unsolicited acquisitions), stock for stock acquisitions, spin-offs, split-offs, split-ups and acquisitions of minority interests. The Executive Counsel team has represented clients in all aspects of industry operations, financing, contracting, and corporate structuring, as well as on energy laws and regulations. Our clients include local distribution companies, energy commodity producers, renewable energy suppliers (wind, traditional hydro, hydrokinetic [river and tidal], solar, biomass).

eCommerce

Executive Counsel advises clients in contracts, advertising, technological and tax issues related to commerce and sales through the Internet. Our areas of counsel include a thorough understanding of state and federal law that establishes the validity of electronic information as transactional records, as well as the application of contracts and newly evolving law to the operational realities of electronic transactions. These include, but are not limited to, authentication, encryption, and confidentiality of sensitive information, as well as tax issues associated with transactions occurring in digital form. In addition, we work on resolution of disputes arising out of electronic transactions.
